ConveraLab Terms of Use

These Terms of Use are between you and Emerge Performance Pte Ltd (Emerge Performance, we, us, or our). They govern your access to and use of ConveraLab.
1. What ConveraLab is
ConveraLab is an Emerge Performance product that provides voice-first practice for workplace coaching development. It is available for individual practice and through organizational programs.
An organization sponsoring a program may set program rules and appoint lecturers, administrators, or support contacts for that program. Additional organizational or program terms communicated to you may also apply.
2. Eligibility and territory
You must be at least 18 years old, have legal capacity to agree to these Terms, and use ConveraLab only where the product is available and lawful. ConveraLab is not directed to children or anyone under 18.
ConveraLab is not currently available to people located in the United Kingdom, the European Union or wider European Economic Area, or Switzerland. By accepting these Terms, you confirm that you meet the age and location requirements above. Do not create an account or use ConveraLab if you do not meet them.
The product may also be unavailable or restricted in other territories or regulated settings. You are responsible for complying with the laws and obligations that apply to your use.
3. Accounts and sign-in
ConveraLab uses a verified email sign-in link and may offer Google sign-in. Your account and sign-in credentials are personal to you. You must provide accurate account information, protect your account and sign-in links, and tell us promptly if you believe your account has been compromised. Do not share a sign-in link or use another person’s account.
Contact support if you cannot recover access to your account. Do not create a duplicate account to bypass account recovery, enrollment, capacity, or access controls.
Emerge Performance may suspend or remove access for security, misuse, program, organizational, capacity, or legal reasons. Successfully authenticating does not by itself grant a program role or access to another person’s information.
4. Purpose and limits
ConveraLab provides a controlled environment to rehearse coaching conversations with AI role-play avatars and receive structured feedback. It is for practice, reflection, and development only.
ConveraLab is not certification, professional accreditation, clinical care, legal advice, financial advice, employment advice, or a final assessment of coaching ability. AI-generated role-play, transcripts, reports, scores, and feedback may be incomplete or inaccurate. Human lecturers and applicable organizational policies remain authoritative where they apply.
Do not use ConveraLab or its outputs to make high-stakes decisions about a person, including employment, disciplinary, clinical, legal, or financial decisions.
5. Enrollment and visibility
An individual-practice enrollment gives you access to your own practice content. Your individual-practice sessions, reports, transcripts, available audio, and progress are not made available to an organization merely because you later join an organizational program.
ConveraLab does not currently combine individual-practice and organizational contexts in one active account. You may need to complete deletion of an individual-practice account before accepting an organizational invitation. A later organizational enrollment does not restore deleted individual-practice content.
In an organizational program, authorized program staff, including lecturers and program administrators, may access participant account, membership, cohort, practice, assessment, report, transcript, available audio, feedback, comment, and progress information as permitted by their assigned role and program scope. Not every role can access every category. The ConveraLab Privacy Policy provides more information about access and data handling.
You must not attempt to access another person’s account, sessions, reports, transcripts, audio, progress, comments, or organizational information unless your authorized role expressly permits that access.
6. Ownership, licence, and content
ConveraLab, including its software, branding, interfaces, scenarios, avatars, instructions, scoring methods, and product materials, is owned by or licensed to Emerge Performance and is protected by applicable intellectual-property laws. Except for the limited rights expressly provided in these Terms, no rights in ConveraLab are transferred to you.
While you comply with these Terms, Emerge Performance grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use ConveraLab for approved individual practice or participation in your organizational program.
You retain any rights you already have in information and material you submit to ConveraLab (User Content). You grant Emerge Performance and its service providers a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process, and create technical or AI-generated derivatives from User Content only as reasonably necessary to provide, secure, support, administer, and improve ConveraLab, comply with law, and exercise rights under these Terms. This licence lasts only for as long as the relevant User Content is retained for those purposes. You remain responsible for User Content and must have the rights and permissions needed to provide it.
Subject to these Terms, applicable law, and any organizational program rules, you may use reports, transcripts, recordings, and other outputs made available to you for your own practice and development. Outputs may not be unique, and similar material may be generated for other users. Emerge Performance does not guarantee that an AI-generated output is capable of ownership or exclusive rights.
If you voluntarily provide product suggestions or other feedback about ConveraLab, Emerge Performance may use it without restriction or compensation. Personal data contained in feedback remains subject to the Privacy Policy.
7. Privacy and practice-session data
When you use ConveraLab, Emerge Performance may process account and enrollment details, session activity, voice recordings during practice sessions, transcripts, reports, scores, feedback, assessments, reflections, comments, support communications, operational logs, and product-analytics events.
The ConveraLab Privacy Policy explains what personal data is processed, why it is used, who can access or receive it, international processing, retention, and your rights and choices. The Privacy Policy is a notice about data handling and is not incorporated into these Terms as a contractual promise or as consent to every processing activity it describes.
8. Waitlist
ConveraLab may close registration or reach its planned capacity during testing. If registration is unavailable, you may separately choose to join the waitlist using your verified email address so that we can notify you if registration becomes available. Joining the waitlist is optional.
Joining the waitlist is not an admission, account, or promise of access. You may leave it through support or an available opt-out process. Waitlist information is handled and retained as described in the Privacy Policy.
9. Information and conduct
Do not submit personal, confidential, medical, legal, financial, employment-sensitive, client-sensitive, or third-party information unless it is reasonably necessary for the approved practice activity and you have the right to provide it. Do not provide information that would breach an obligation to an employer, client, colleague, participant, training provider, or other third party.
Use ConveraLab lawfully, respectfully, and professionally. You must not:
- use ConveraLab for emergencies or prohibited high-stakes decisions;
- copy, sell, sublicense, reverse engineer, scrape, overload, probe, attack, or interfere with the product except where applicable law does not permit that restriction;
- submit unlawful, abusive, discriminatory, harassing, sexually explicit, exploitative, or rights-infringing content;
- use ConveraLab to assess a real person without their knowledge and any permission required by law or an applicable organizational policy; or
- attempt to bypass capacity, enrollment, authentication, authorization, safety, or security controls.
10. Downloads
You may download your own audio recordings and transcripts where the feature is available and the material has not expired or been deleted. You are responsible for protecting and sharing downloaded copies appropriately.
Emerge Performance cannot control copies that you download or share outside ConveraLab. Deleting information from ConveraLab does not delete copies that you or another authorized recipient previously downloaded.
11. Service operation and changes
ConveraLab is a developing service. Features may be added, changed, suspended, or removed, and scenarios, avatars, scoring methods, feedback formats, and reporting features may change. We may perform maintenance or impose reasonable usage, capacity, security, or program limits.
We do not promise that every feature will always be available or that User Content or outputs will remain available indefinitely. Retention and deletion are governed by the Privacy Policy, applicable law, and any additional notice we provide for a material change in data handling.
12. Suspension, termination, and effect
You may stop using ConveraLab at any time. You may contact support or use an available product process to request account closure or deletion. Privacy and deletion requests are handled under the Privacy Policy and applicable law.
Emerge Performance may suspend, restrict, or terminate access immediately where reasonably necessary for security, suspected misuse, a material breach of these Terms, program or organizational requirements, capacity, provider availability, or legal compliance. Where appropriate, we may provide notice and a reasonable opportunity to address the issue.
When access ends, your right to use ConveraLab ends. Sections that by their nature should continue—including ownership, content licences required for retained information, disclaimers, liability, indemnity, governing law, and general terms—survive. Ending access does not require us to retain information that would otherwise be deleted under the Privacy Policy.
13. Disclaimers
To the fullest extent permitted by law, ConveraLab is provided as is and as available. Emerge Performance does not warrant that the product will be uninterrupted, error-free, secure against every threat, or suitable for a particular outcome, or that AI-generated material will be complete, accurate, unique, or available at all times.
You remain responsible for how you use ConveraLab and its outputs and for obtaining professional or organizational guidance where appropriate. Nothing in these Terms excludes any warranty, condition, or statutory right that cannot lawfully be excluded.
14. Liability
Nothing in these Terms limits liability that cannot lawfully be limited under Singapore law, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited.
Subject to the paragraph above and to the fullest extent permitted by law:
- Emerge Performance is responsible only for direct loss that was reasonably foreseeable and directly caused by its breach of these Terms;
- Emerge Performance is not liable for indirect, incidental, special, exemplary, or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill, reputation, anticipated savings, or data; and
- Emerge Performance’s total aggregate liability arising out of or in connection with ConveraLab or these Terms will not exceed the greater of the amount you paid Emerge Performance for ConveraLab in the 12 months before the event giving rise to the claim or S$50.
These limitations apply regardless of the legal basis of a claim, but only to the extent they are reasonable and permitted under applicable law. They do not limit rights or remedies that applicable consumer law makes mandatory.
15. Indemnity
To the extent permitted by law, you will indemnify Emerge Performance against a third-party claim, and the resulting damages, liabilities, and reasonable legal costs, to the extent the claim results from:
- User Content that you did not have the right to provide or that infringes the third party’s rights;
- your unlawful assessment or use of information about a real person;
- your deliberate attack on, interference with, or circumvention of ConveraLab’s security or access controls; or
- your intentional, unlawful, or materially abusive breach of section 9.
This indemnity does not apply to the extent a claim was caused by Emerge Performance’s negligence, breach of these Terms, or violation of law. We will give you reasonable notice of a covered claim and reasonable cooperation in its defence. You may not settle a claim in a way that admits liability by or imposes an obligation on Emerge Performance without our written consent, which we will not unreasonably withhold.
16. Changes to these Terms
Emerge Performance may update these Terms to reflect changes to ConveraLab, organizational programs, providers, risk, or applicable requirements. We will make the current Terms and Privacy Policy available to you and provide additional notice of material changes where required.
We may require you to accept an updated version before continuing to use ConveraLab. If you do not agree to updated Terms, do not use ConveraLab after they take effect.
17. Governing law and disputes
These Terms and any non-contractual dispute arising out of or in connection with them or ConveraLab are governed by the laws of Singapore, without regard to conflict-of-law rules.
Please contact support@converalab.com first so that we can try to resolve a dispute promptly. If it cannot be resolved, the courts of Singapore will have exclusive jurisdiction, subject to any mandatory right under applicable law to bring a claim elsewhere. This section does not prevent either party from seeking urgent or protective relief from a court with jurisdiction.
18. General terms
These Terms and any additional organizational or program terms that expressly apply to you form the agreement governing your use of ConveraLab. If additional terms conflict with these Terms, they prevail only for the relevant program and only where they expressly identify the different rule and are issued or approved by Emerge Performance. The Privacy Policy is a separate notice and is not part of this agreement.
You may not assign or transfer your account or rights under these Terms. Emerge Performance may assign these Terms as part of a reorganization, merger, financing, or transfer of ConveraLab or its business, provided that the assignee assumes the applicable obligations under these Terms.
If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions continue to apply. A delay or failure to enforce a provision is not a waiver. Except where these Terms expressly say otherwise, a person who is not a party to them has no right to enforce them.
Notices may be provided through ConveraLab, to the email address associated with your account, or through another reasonable electronic channel. You are responsible for keeping your account email current.
